TrustBasket Rider — Terms & Conditions

These Terms & Conditions (“Terms”) govern your access to and use of the TrustBasket Rider mobile application (the “App”) and the rider services offered through it (the “Services”), operated by TrustBasket (“TrustBasket”, “we”, “us”, or “our”).

By creating an account, completing onboarding, or otherwise using the App, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the App.

About the Service

TrustBasket operates a marketplace that connects vendors and customers with independent delivery riders. The App allows you, as a rider, to:

  • Register and complete identity, address, bank, guarantor, and vehicle verification;
  • Receive, accept, and fulfil delivery orders;
  • Track your deliveries and delivery history;
  • View your earnings, wallet balance, and transaction history, and request withdrawals to your verified bank account;
  • Manage your working hours, profile, and account settings.

Some riders operate under a vendor-managed arrangement, in which case certain features (such as the in-app wallet and withdrawals) may not be available to you, and your remuneration is handled directly by the vendor you work with.

Eligibility

To register as a rider you must:

  • Be at least 18 years of age;
  • Be legally entitled to live and work in the Federal Republic of Nigeria;
  • Hold a valid means of identification, including a National Identification Number (NIN);
  • Hold a valid driver's licence (or other rider's permit applicable to your vehicle type) where the law requires one for the vehicle you use;
  • Own or be authorised to operate a roadworthy vehicle (bicycle, bike, scooter, tricycle, car, or truck) that meets all applicable legal requirements, including registration and a valid plate number where required;
  • Provide two guarantors who meet our guarantor requirements (see Section 5);
  • Provide accurate, complete, and current information during registration and onboarding, and keep it up to date.

We may accept or reject any rider application at our sole discretion, and may require re-verification or re-submission of documents at any time.

Your Account

  • You are responsible for maintaining the confidentiality of your login credentials and your transaction PIN. Any activity carried out through your account or authorised with your PIN is deemed to have been carried out by you.
  • You must notify us immediately at the support contact in Section 16 if you suspect unauthorised use of your account.
  • You may hold only one rider account. Accounts are personal to you and may not be sold, transferred, or shared. Allowing another person to carry out deliveries under your account is strictly prohibited and will result in immediate deactivation.
  • You may delete your account at any time from within the App (Profile → Manage Account). Deletion is subject to the settlement of any outstanding orders, funds, or obligations, and to the retention rules described in our Privacy Policy.

Verification and Onboarding

  • As part of onboarding you must submit identity documents (NIN, driver's licence, passport photograph), proof of address (home address, address photograph, and utility bill where requested), bank account details, guarantor details, and vehicle information.
  • You represent and warrant that all documents and information you submit are genuine, accurate, and belong to you. Submitting forged, altered, or third-party documents is a material breach of these Terms and may be reported to law enforcement.
  • We may verify your information with third-party identity-verification, banking, and background-check providers, and with the guarantors you nominate.
  • Your account may remain in a pending state, and access to delivery features restricted, until verification is complete and approved. We may ask you to re-upload documents that are rejected, expired, or unclear.

Guarantors

  • You must provide two guarantors, each of whom must consent to act as your guarantor and to the collection of their details (name, phone number, NIN, and address).
  • You confirm that you have obtained each guarantor's consent before submitting their information to us.
  • We may contact your guarantors to verify their identity and their willingness to act, and may contact them in connection with misconduct, unremitted funds, or loss of goods attributable to you.

Relationship of the Parties

  • You provide delivery services as an independent contractor. Nothing in these Terms creates an employment, agency, partnership, or joint-venture relationship between you and TrustBasket.
  • You are responsible for your own taxes, statutory contributions, insurance, vehicle costs, fuel, maintenance, and any licences or permits required to operate your vehicle.
  • You are free to determine your working hours through the App, subject to any commitments you make when accepting an order.

Orders and Delivery Conduct

When you accept an order, you agree to:

  • Collect the order from the vendor and deliver it to the customer promptly, safely, and to the address provided;
  • Handle goods with reasonable care and keep them in the condition in which you received them (including any hygiene or temperature requirements for food items);
  • Complete any in-app verification steps (such as delivery or pickup verification codes) honestly and only upon actual pickup or delivery;
  • Not consume, tamper with, open, retain, or misappropriate any goods entrusted to you;
  • Comply with all applicable traffic laws and road-safety regulations, including the use of helmets and other safety equipment where required;
  • Treat vendors, customers, and TrustBasket staff with courtesy, and refrain from harassment, discrimination, or abusive conduct;
  • Not contact customers outside the App for purposes unrelated to the delivery, and not use customer information for any other purpose.

You may decline orders; however, repeated failure to complete accepted orders, fraudulent completion of orders, or a pattern of poor service may result in suspension or deactivation.

Earnings, Wallet, and Withdrawals

  • Delivery fees, commissions, bonuses, and any deductions applicable to your deliveries are displayed in the App and may be revised from time to time. Continued use of the Services after a revision constitutes acceptance of the revised rates.
  • Service fee: TrustBasket charges a service fee of three percent (3%) on each delivery fee earned through the platform. This fee is automatically deducted before earnings are credited to your wallet, and the net amount credited is shown in the App. We may revise the service fee from time to time in accordance with Section 15; any revision will be notified through the App before it takes effect.
  • Where the in-app wallet is available to you, completed and verified deliveries are credited to your wallet. You may request a withdrawal of available funds to the verified bank account in your name provided during onboarding.
  • Withdrawals require your transaction PIN and may be subject to processing fees, minimum amounts, and processing timelines displayed in the App.
  • We may withhold, reverse, or offset amounts in your wallet where we reasonably believe they relate to fraud, order manipulation, unremitted cash collections, chargebacks, customer refunds attributable to your fault, or breach of these Terms.
  • If you are a vendor-managed rider, your remuneration is agreed between you and your vendor; TrustBasket is not a party to that arrangement.

Cash Handling

Where an order involves cash collection from a customer, you must remit the collected amount in full as instructed in the App or by the vendor. Failure to remit collected funds is a material breach of these Terms and may be treated as a criminal matter and pursued against you and, where applicable, referred to your guarantors.

Prohibited Conduct

You must not:

  • Provide false, misleading, or third-party information or documents;
  • Use another person's account or allow another person to use yours;
  • Manipulate orders, verification codes, delivery statuses, ratings, or referral or bonus programmes;
  • Use the App while your judgement is impaired (including under the influence of alcohol or drugs);
  • Reverse-engineer, decompile, scrape, or interfere with the App, its security, or its APIs;
  • Use the App for any unlawful purpose, including the transport of illegal or dangerous goods;
  • Harass, threaten, or endanger any vendor, customer, rider, or member of the public.

Suspension and Termination

  • We may suspend or deactivate your account, with prior notice, where we reasonably believe you have breached these Terms, where required by law, where your verification fails or lapses, or where your conduct poses a risk to customers, vendors, other riders, or TrustBasket.
  • You may stop using the Services and delete your account at any time.
  • On termination, sections that by their nature should survive (including payment obligations, cash remittance, liability, indemnity, and dispute resolution) will survive.
  • Any undisputed earned balance remaining in your wallet at termination will be paid to your verified bank account after deduction of any amounts you owe, subject to Section 8.

Intellectual Property

The App, its content, trademarks, logos, and software are owned by or licensed to TrustBasket. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the App solely to provide delivery services under these Terms. You may not use the TrustBasket name or branding except as necessary to perform deliveries.

Disclaimers

  • The App is provided on an “as is” and “as available” basis. We do not guarantee that the App will be uninterrupted, error-free, or free of defects, or that any particular volume of orders or earnings will be available to you.
  • TrustBasket is a technology platform. Except where the law provides otherwise, we are not a party to the delivery contract between vendor and customer and we do not employ riders.

Liability and Indemnity

  • To the maximum extent permitted by law, TrustBasket shall not be liable for indirect, incidental, consequential, or punitive losses, or for loss of profits, goodwill, or data, arising out of your use of the App.
  • To the maximum extent permitted by law, our total aggregate liability to you for any claim arising out of these Terms or the Services shall not exceed the total delivery fees paid to you through the App in the three (3) months preceding the event giving rise to the claim.
  • You agree to indemnify and hold TrustBasket harmless from claims, losses, and expenses (including reasonable legal fees) arising from your breach of these Terms, your delivery activities (including road accidents, injury, or damage to goods or property), your violation of law, or your infringement of any third party's rights.
  • Nothing in these Terms excludes liability that cannot be excluded under applicable Nigerian law, including liability for fraud.

Changes to the Service and to These Terms

We may modify the App, the Services, or these Terms from time to time. Material changes will be notified through the App or by other reasonable means, and the “Last updated” date above will be revised. Your continued use of the App after changes take effect constitutes acceptance of the updated Terms.

Governing Law and Dispute Resolution

These Terms are governed by the laws of the Federal Republic of Nigeria. The parties shall first attempt to resolve any dispute amicably through our support channels. Any dispute not resolved within thirty (30) days may be referred to the competent courts in Nigeria, or, where both parties agree, to arbitration in accordance with the Arbitration and Mediation Act 2023.

General

  • Severability: If any provision of these Terms is held invalid, the remaining provisions remain in full force.
  • No waiver: Our failure to enforce any provision is not a waiver of it.
  • Assignment: You may not assign these Terms; we may assign them to an affiliate or successor.
  • Entire agreement: These Terms, together with the Privacy Policy and any policies referenced in the App, form the entire agreement between you and TrustBasket regarding the Services.
